You grant Protize a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display User Content as necessary to provide and improve the Services. You represent that you have all rights to grant this license and that your User Content complies with these Terms.

6) Intellectual Property

The Services, including text, graphics, logos, software, and other materials, are owned by Protize or our licensors and are protected by applicable intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.

7) Third-Party Services & Links

The Services may integrate with or link to third-party sites or services. We do not control and are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and may be subject to additional terms.

8) Fees, Payments & Taxes (If Applicable)

• Prices, features, and billing cycles may change with notice as required by law or contract.
• You authorize Protize and its payment processors to charge the provided payment method for subscriptions or purchases.
• You are responsible for any applicable taxes, duties, or government charges.

9) Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect and process personal data.

10) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROTIZE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROTIZE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12) Indemnification

You agree to indemnify and hold Protize and its affiliates, officers, employees, and agents harmless from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Services, your User Content, or your violation of these Terms.

13) Suspension & Termination

We may suspend or terminate your access to the Services, with or without notice, if we believe you have violated these Terms, pose a security risk, or for other lawful reasons. Upon termination, your right to use the Services ceases immediately. Sections intended to survive termination will continue to apply.

14) Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction where Protize is established, without regard to conflict-of-laws principles. Courts located in that jurisdiction shall have exclusive jurisdiction. Where required by law, you and Protize agree to attempt good-faith informal resolution before pursuing formal proceedings.

15) Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Protize regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in full force.
• No Waiver: Failure to enforce a provision is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition, or sale of assets.
• Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control.
• Export Controls: You agree to comply with applicable export and sanctions laws.
